- Indemnity -
- In this Article VIII “Person” shall mean any person who was, now is or shall be (a) an Officer or member of the Board, (b) a member of a duly constituted committee or task group of the Corporation, (c) a director, officer, trustee or employee (whether salaried or not) of any Council and (d) an employee (whether salaried or not) of the National Office.
- The Corporation shall indemnify and save harmless each Person and his heirs, executors and administrators against all costs, charges and expenses, including an amount paid to settle an action or satisfy a judgment reasonably incurred by that Person in respect of any civil, criminal or administrative action or proceedings to which he has been made a party by reason of being a Person provided that (a) that Person acted honestly and in good faith with a view to the best interests of the Corporation; and (b) in the case of a criminal or administrative action or proceeding that is enforced by a monetary penalty, that Person had reasonable grounds for believing that his conduct was lawful.

- Insurance - The Corporation may purchase, maintain and participate in such insurance for the benefit of Persons as the Board may from time to time determine.
